THIS LICENSE AGREEMENT ("Agreement") is entered into this 29th day of July, 2023, by and between the party who accepts the terms of this Agreement ("Licensee") and Moreblocks ("Licensor"), a division of [Legal entity name].

WHEREAS, Licensor has developed certain proprietary pre-designed web components under the name Moreblocks (the "Components") which work exclusively with Wordpress and Breakdance Website Builders;

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

1. GRANT OF LICENSE

Subject to the terms of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, worldwide, multi-use license to use the Components for both personal and commercial purposes.

2. PERMITTED USES

The Licensee may use the Components to create End Products for clients or personal projects. Licensee may alter or combine the Components with other works to create derivative works, subject to the restrictions in this Agreement.

3. ACCOUNT LIMITATION

Each license is limited to a single user. If a subscription for multiple individuals is required, please contact us to add the appropriate team size license.

4. RESTRICTIONS

Licensee may not:

(i) distribute, sell, sublicense, lease, rent, or otherwise redistribute the Components or any modification thereof to any third party;

(ii) use the Components to create End Products for sale or free distribution that include editable source files;

(iii) copy and paste Components directly from the Moreblocks library into a folder without any modifications.

5. COPYRIGHT AND OWNERSHIP

Licensor retains all rights, title, and interest in and to the Components and all copies thereof, including copyrights, patents, trade secret rights, trademarks, and other intellectual property rights.

6. TERM AND TERMINATION

This Agreement is effective until terminated. Licensee may terminate this Agreement at any time by ceasing to use the Components. This Agreement will terminate immediately without notice from Licensor if Licensee fails to comply with any of its provisions.

7. SUPPORT AND UPDATES

Licensor will provide Licensee with support services related to the Components, as well as updates and upgrades, as and when they become available.

8. LIABILITY LIMITATION

In no event shall Licensor or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Components.

9. CHANGES TO TERMS AND PRICES

Licensor reserves the right to change prices, as well as revise the terms and license, at any time.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Licensor is located.

11. COOKIES

Licensor uses “cookies” on its site. A cookie is a piece of data stored on a site visitor’s hard drive to help us improve access to our website and identify repeat visitors to our site.
